Munshi10 is a Software as a Service (SaaS) product provided by Licensor. SaaS is a cloud computing model where the Software is hosted on remote servers and accessed over the internet. This eliminates the need for the Licensee to install and maintain the Software locally. Munshi10, though standardized for all customers, allows for customization of certain printouts using HTML templates. Additionally, reports can be tailored by selecting or deselecting specific options before generating the report.
The Licensee acknowledges and agrees that it is their responsibility to thoroughly test and confirm that Munshi10 fulfills their specific business requirements. Licensor does not guarantee that the Software will meet all the Licensee's needs and requirements.
In the event that the Licensee discovers a bug or error in the Software, Licensor will make reasonable efforts to rectify the issue in a timely manner. The specific timeframe for bug resolution is not defined due to the nature of software development, but Licensor aims to address bugs within a reasonable period, often within a few days to a month.
No customization of any kind is provided as a part of the standard Munshi10 offering. However, if Licensor has committed to any customization before Munshi10 installation, the Licensee will be provided with a specific time period within which the customization will be completed. Along with this customization, Licensor will offer a one-year bug fixed report at no additional charge.
If the Licensee identifies a missing feature or functionality later on, they can contact Licensor to inquire about the possibility of developing such a feature. This development may be subject to additional charges or deemed not feasible. For this reason the Licensee is advised to confirm all required features before commencing use of the Software.
Licensor continually enhances the Software, and these enhancements are an integral part of the SaaS offering. The Licensee acknowledges that they cannot opt out of these enhancements.
SQL based custom reports with totals and subtotals functionality are available as part of the Munshi10 SaaS product. During the first 3 months of usage, no custom reports will be built to allow the user to become familiar with the software and existing reports. After the initial 3 months, the Licensee may request a maximum of two custom reports per year (and this quota is not rolled over). To build these custom reports, required report sample will be provided in MS Excel format, with sample data, to demonstrate need, functionality and layout by Licensee and custom report will be built accordingly. Some custom reports may require one time charges so please discuss your requirements first before asking for the development of new report.
The use of Munshi10 constitutes the Licensee's acceptance of the terms and conditions outlined in this Agreement.
Should the Licensee wish to terminate their use of Munshi10, they must notify Licensor before the next billing date to avoid charges for the subsequent billing period. Upon termination, Licensor will provide the Licensee with a complete backup of their data in SQL format as of the termination date. Additionally, the Licensee has the option to download their data in XL (Excel) format. Licensor can assist the Licensee in the process of downloading data in XL format, if requested.
Licensor shall not be held responsible for any loss of data, business, or customers, even if advanced notice was given. The Licensee's sole remedy for any loss is the latest available data backup. It is recommended to keep a copy of important data in MS Excel sheets. Licensee is advised to assess potential business and customer losses while using the Software.
Data access security measures can be applied on request. This includes IP address restriction and two-step authentication with OTP. These additional security features aim to enhance the protection of Licensee's data and ensure its integrity. The Licensee may contact Licensor to enable these security measures based on their requirements. However, it is important to note that in modern times, unauthorized copying of data has become increasingly easy due to the availability of email, copy/paste into spreadsheets, sharing via messaging apps, and capturing screenshots on mobile devices. Such copying methods cannot be fully controlled or prevented by the Licensor's security measures.
Licensor performs remote data backups of the Licensee's data three times daily. In the event of a server crash, the Licensor will restore the latest available backup, which may result in data loss of up to a few hours. The Licensee is responsible for maintaining manual records of critical data, such as bills, receipts, and invoices.
All communication related to Munshi10, including bug reports and service requests, must be conducted through email. Any bug reports or service requests should be sent via email with a cc to the concerned persons. Additionally, when necessary, screenshots with graphical annotations or explanatory text should be included to clarify any problems. Email will be the primary source of communication. Phone calls and WhatsApp messages may be used for additional clarification and support.
The Licensee agrees to make payment for the subscription to Munshi10 before the 10th day of every month. Failure to clear the payment by the 10th day will result in the addition of a warning message within the software, notifying the Licensee of the outstanding payment. If the payment remains uncleared by the 15th day of the same month, the software will be deactivated, and access will be restricted. Reactivation of the software can be requested by the Licensee, but it may require the payment of additional activation charges as determined by the Licensor.
It is important to note that any reported bug fixes or custom development requests will not constitute grounds to withhold subscription payment. Subscription payment is mandatory for uninterrupted access to Munshi10, and the software will be deactivated due to non-payment in all cases.
By using Munshi10, the Licensee acknowledges that they have read, understood, and agree to abide by the terms and conditions of this Agreement. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether oral or written.
